Terms of service

These Terms of Use (“Terms”) govern the use of the Poka health period tracking application (the “App”) created by Poka Technology Ltd (“Poka” “us” “we”). By accessing or using the App, you agree to be bound by these Terms. If you do not agree with these Terms, you must immediately cease use of the App.

1. Licence to Use the App.

 Poka grants you a revocable, nonexclusive, non-transferable, limited licence to download, install and use the App solely for your own personal, non-commercial purposes strictly in accordance with the terms of this Agreement.

2. Restrictions. 

You agree not to, and you will not permit others to: (a) licence, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose or otherwise commercially exploit the App or make the App available to any third party; (b) modify, make derivative works of, disassemble, reverse compile or reverse engineer any part of the App; or (c) access the App in order to build a similar or competitive product or service.

3. User Content. 

You are solely responsible for any content that you post or make available through the App. We reserve the right to remove any content that violates these Terms or any applicable laws, or which we deem inappropriate.

4. Privacy. 

Your use of the App is subject to our Privacy Policy.

5. Indemnification. 

You agree to indemnify and hold Poka, its affiliates, officers, agents, and employees harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your breach of these Terms, or your violation of any law or the rights of a third party.

6. Disclaimer of Warranties. 

The App is provided “as is” and “as available” without warranties of any kind, either express or implied. Poka and its licensors disclaim all warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the App is secure, error-free, or that it will meet your requirements.

7. Limitation of Liability. 

To the maximum extent permitted by applicable law, Poka and its licensors shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the App; (b) any conduct or content of any third party on the App; (c) any content obtained from the App; or (d) unauthorised access, use or alteration of your transmissions or content.

8. Community Features

By using community features, you agree to abide by our Community Guidelines, which form part of these Terms.

9. Termination. 

We may terminate or suspend your account and access to the App immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the App will immediately cease.

10. Governing Law. 

These Terms and any dispute arising out of or related to these Terms shall be governed by and construed and enforced in accordance with the laws of Ghana, without regard to its conflict of law rules.

11. Limitation of Actions.

 Any action or proceeding arising out of or related to these Terms must be commenced within one (1) year after the cause of action accrues.

12. General Terms. 

We reserve the right to modify these Terms at any time at its discretion. If any part of these Terms is held invalid or unenforceable, that part will be construed to reflect the parties’ original intent, and the remaining portions will remain in full force and effect. A waiver by either party of any term or condition of these Terms or any breach thereof, in any one instance, will not waive such term or condition or any subsequent breach thereof. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

These Terms constitute the entire agreement between you and Poka with respect to the App, and supersedes all prior or contemporaneous understandings and agreements, whether written or oral, regarding the App.
